We have been in touch with the transfer agent and your payment has not arrived yet.

According to your transfer receipt it was sent Urgent and should have been received yesterday.

They did point out one thing from your receipt that may be a problem.

Where the "Bank Name" or "Bankens Navn"

It says "ICBC Limited, Hong Kong"

The wire instructions state "Industrial and Commercial Bank of China (Asia) Limited, Hong Kong"

The transfer agent mentioned that this has been a problem in the past.

Could you please contact your bank and inquire as to where it is? You may have to ask them to amend the correct Bank Name.

The banks are very particular the last few years.

All other Info on the Receipt is Correct.

I don't believe that First Private Equity Group is registered with the SEC. Did someone represent to you that our firm is registered with the SEC?

We are a private equity firm and specialize in mergers, acquisitions and private wealth management. We are not compelled to register with the SEC as we are not a full service broker dealer.

As far as Mr. Clarke is concerned, I can assure you that he is a real person who visits our office once or twice per week.

I am not sure why your enquiry lead you to the response that you received, but I do know that the SEC has many thousands of employees and just as many contractors, so it is not surprising that you received the response you did.

Also Mr. Clarke does not have any dealings with the general public so this may be another reason why you found no listing for him.

It also appears that the response you have received is a cut and paste response that is sent in response to many enquiries.

Mr. Clarke will not have anything more to do with your account until you have dealt with the withholdings issue. We have a meeting scheduled tomorrow afternoon with the credit department, and the CFO of our firm to try to find a solution to the current situation.

Someone will be in contact with you on Monday

I suggested to Mr. Poole that maybe next week when Mr. Clarke is in the office that we have him speak to you briefly, regarding your predicament. Even if you were to contact him through his office he would decline to comment on any matter as he could not be sure as to whom he was speaking with.

At this pointall of these accusations have gotten Mr. Poole somewhat upset with you.

am very sorry if my anxiety over this trade and my concern about the timeframe of the transfer of my money has come through as accusations. That has not been my intention.

I do hope though, that you can understand my concern. The letter, or memo, from SEC do not state a very specific period for handling the tax issue - 30 to 60 days — sot thought it was appropriate to ask them for a more specific date. I have no experience in such agencies and their responses, so please understand my shock on receiving the mail I forwarded to you.

Furthermore it seems that I really do not understand the procedures. As I read the memo from SEC I am not required to deal with the situation; once my position as a Non-Resident Alien (NRA) is confirmed my funds will be released regardless of any pre payment. Is that not so? I have made it clear to Mr. Poole that I am in my present situation unable to raise the pre-payment. Are further proceedings dependent on that?

I look forward to hear the result of your scheduled meeting tomorrow, and a clarification of my situation.

I refer to my conversation with William Parker earlier today, and will report on my progress in raising the necessary funds for the transaction to be completed.

I have so far managed to raise 150.000 NOK, now available on my account — nearly half of the stipulated amount of 60.000 USD and will continue my efforts during the holiday tomorrow, and into Wednesday. If I had been aware of this (not misunderstood the letter from SEC as explained on the phone) I would have restructured my total loans to meet this amount, but that would take at least 14 days.

Is there any possibility that you can forward the rest? In that case I can make the transfer from my account today.

Everything appears to be in order. The accounts department advised me that as the transfers were sent "Standard" they will not be received until next Monday. Standard transfers from Europe take 3 days. I will let Mr. Parker know that you have sent this in, and I will confirm to you when the funds have been received.

I will do my best to explain this to you.

We do not believe that you owe any tax on your recent share sale, and we are not suggesting that you pay any tax on it.

In fact if you were to apply for a Taxpayer ID Number and then file a tax return, and actually pay the tax, then you would have to apply for a refund and wait up to one year or more to receive your tax payment back.

The problem that we have at the moment is that there has been no determination of your status as either a taxpayer or that you are non-taxable.

[ ]

Your funds can not be released until this determination has been made. So far you have not submitted any proof of your tax status to the revenue department, one way or the other.

The international remittance agent has not been authorized to release your sale proceeds, and the only way that this can be done prior to receiving a ruling on your tax status, is to lodge a withholdings amount equal to the potential tax liability, with a Qualified Foreign Intermediary. The Qualified Foreign Intermediary has a special arrangement with the revenue department that they guarantee that if, in the future, there is a determination that taxes are due and payable on your transaction, the Qualified Foreign Intermediary must pay this amount directly to the revenue department immediately. Dreyfus Rupert does act as a QFI, and has the established arrangement with the revenue department to guarantee that the amount will be immediately remitted if required.

The Qualified Foreign Intermediary also has a close working relationship with the revenue department, and through this working relationship, is able to push your tax status determination quickly through the system, in most cases with a favorable outcome. Once they receive the ruling that you have been determined to be non-taxable, your withholdings amount will be immediately forwarded to your designated account. They are usually able to have this whole process completed within a 30 to 60 day time frame. Unfortunately the QFI does not initiate this whole procedure until they are in receipt of the withholdings amount, as they would not want to be responsible for your taxes if it was determined that you were indeed taxable.
