RE: Outside Interest inquiry
I am a trustee of a Black family related trust that is a majority owner and creditor of certain entities related to Phaidon, a publishing company. I have been asked to serve as a director of one or more entities. Can you please advise Eileen and Ada what information I need to supply and what permissions I need to obtain in order to do this? Do I just fill out the normal outside interest form? Or is there a special vetting process due to the Black family affiliation. It will require 2-3 hours a month of work, on average, I think. I will likely be attending monthly management meetings and quarterly board meetings.

About a year ago we had a similar project for Barry — where we had to prepare a list of all family trusts/entities for which he was acting as Trustee, Manager, Officer or Director (this list disappeared with Julie—the woman in accounting who was let go). Since Heather has now created the chart for the delegations project, it is easy enough to tailor for Barry if we need to do that exercise again.

Just to be clear—I don't know if Barry will need the same type of list again as I have not reached out to him or Cindy yet (but I will do so).
Elizabeth Damaskos, a Paul Weiss paralegal we seconded, prepared the list for Barry I mentioned below. She was also preparing a list of all family trusts/entities listing all Trustees, Managers, officer, directors, etc. Eileen told me at the time that accounting wanted to take over this project and so it was assigned to Julie. Elizabeth gave her both lists. Julie apparently never finished the project. When we started the delegations project, I asked accounting for the list so Heather could update it and they did not know what list I was referring to. We could not find either list on either our shared drive or Julie's C drive (we even asked ACE to look for it). Eileen found an old version of it somewhere (in an email I think) but it was not complete. That is why Heather redid the entire list in connection with the delegations project.
