Darren: Since I asked you for authorization to sign on if all the other outside directors signed on, and we still had not heard from three outside directors, I have not yet informed the group that we would join. I just got an email indicating that Meitar and Kissinger will not join (they did not provide an explanation as to why, but I am asking their counsel). Chambers has not yet responded. Thompson, Taubman, Kravits, Strauss, Weidenfeld and Andreas and Burt had previously indicated they will be plaintiffs. So far, Taubman, Strauss, Weidenfeld, Andreas, Burt have confirmed via email that they will still be plaintiffs even if Kissinger/Meitar/Wexner/Chambers do not sign on. Please let me know if Mr. Wexner will still join given that two outside directors are not joining (and possibly three, if Chambers also does not join). I will send you an email as soon as I find out why Meitar and Kissinger did not join, since that may be relevant to the analysis. On a call last week, Kissinger's counsel had said that Kissinger is such a "lightning rod" that he did not want to be out in front on this unless he was part of a large group. Although there is a large group joining, today's email from Kissinger indicated that he would do whatever Meitar was doing. No other description was provided.

Thompson, Taubman, Kravits, Strauss, Weidenfeld and Andreas and Burt all agreed to be plaintiffs as part of a group (subject to being satisfied with the complaint, as to which we are providing comments to the Company). Counsel for Kissinger, Chambers, Meitar (and of course Wexner) reported that we did not yet have a response on behalf of our clients. The rest of the group would like the others to sign on.
