Dear Mr. Epstein,
Please find a letter from a Gentleman based in Sunrise Florida who represents himself as a parts distributor of Helicopter parts for Mexico , Central and South America . He claims to have a customer by the name of Francisco J. Gonzales {undisclosed location} that will pay $13.3-13.5 for the Helicopter immediately but Mr. Moreau wants the monies above $13.0. I have told Mr. Moreau to send a formal Letter of intent on several occasions and have even offered a format for him. I also have told him we need full disclosure about the actual buyer and his funding sources.
I cannot qualify this deal at this point without taking this to the next steps wherein we respond to this with a formal agreement. Larry brings up a good point that selling a higher price and paying a fee to the broker may cause a tax consequence. In any event if this is of any interest can we have Darren speak with Mr. Moreau about this deal and a structure that protects your interests?

I will need a Confidential Sale Agreement in the form of a notarized letter from his attorney or from your company stating that the ownwer will pay back to CORPOMERICA, INC. any excess received over $13,0MM from the sale of the helicopter in reference to my customer Francisco J. Gonzalez. The sale will be paid in full by a wire transfer from europe , from a prime Bank.
The asking price should be $13,5MM but not less than $13,3MM. Once we have received the Confidential Sale Agreement we can make arrangements for an appoiment to check the helicopter in Palm Beach .
