Resolution Protocol

As you both know, I have been repeatedly advised to absent myself from settlement discussions around the AYH matters with which Jeffery has taken issue. There exist irreconcilable conflicts for me exacerbated by the fact that amongst the shareholders in IGY are third-party individuals and entities to which Jeffery, during the period in question, served as advisor and, I believe, attorney-in-fact. In any event, upon further consultation with counsel I reaffirm my request that I not be included in the settlement discussions until and unless Frank Garrison, who is acting on behalf of IGY, has determined to make a final and formal recommendation to IGY with regards to a settlement, if any.
