The attached memo is a brief overview of the major foreign disclosure requirements to be made by Leon on his personal income tax returns relating to the Phaidon acquisition. I will review the disclosure requirements in detail with counsel after the closing. It may be that other disclosures may be necessary depending on the ultimate elections that are made by the various entities and upon review of the final closing documents and discussion with counsel.
