Please note that as there may be litigation =n the future on this issue, we have marked the memo as "Privileged and Confidential Attorney Client Communication and Wor= Product". Generally, attorney-client communications are pro=ected from discovery in judicial proceedings. The privilege is lost,=however, upon disclosure or dissemination to a third party. This means that if you share this memo with Richard Kahn or with anyone el=e who is not your attorney, the memo will be discoverable and adverse part=es will have access to our arguments and analysis. While there may b= strategic reasons to share at a future date, I do not believe it is in your best interests to share this memo at =his time. As you know, we decided to have a lawyer here and we are wondering wh=n it would be the right time to ask Deborah for all our files and tell her=that we found a new lawyer. Of course, we would like if you could be=involved with the new one, because I think it will be extremely necessary =o prevent new problems, at least, at the beginning.
