Had my merting with David and respective lawyers. Went pretty well( i II say so when papers are really signed) We agreed on :
1/"Rothschild &co" applied to all companies - he wants to keep Rothschild bank AG in Switzerland for "historic reasons"( deal breaker for me ) but will get back to us on that Same for internet etc
2/all generic Rothschild brands forbidden to use or sale . Penalty clauses
3/ defining "control" . I told him it was a huge step for me to move from "majority of capital and voting right " to his current " relative control" . I will settle for it as it will give ourselves room in the future
4/ uncrossing of ownerships. Need to freshen evaluations ( good for us as their stock is higher ) and clauses that include Doi settlement.
They will get back to us the 11th of may. I m pushing for an agreement before end of month as they themselves said "we agree on the majority of the points "
For the uncrossing, after the agreement is signed -asap
David seemed very eager to move fwd. i m curious to see which will be the next chgs that they will try to add.
Otherwise it was the usual mix of family love, whining, arrogant and bitter remarks and, last but not least ,his right to have a preferential treatment because he had no money in the 80s . Voila!
