CURRENT VERSION OF CHARTER AGREEMENT REQUIRES LSJ TO ADVANCE AT LEAST $55,000 TO $60,000 OF ENGINE COSTS IN EXCHANGE FOR A CREDIT IN THAT AMOUNT TO BE APPLIED AGAINST ACTUAL USE OF THE BARGES.  I HAVE TOLD JOHN THAT I WANT A CAP.  ARE YOU OK WITH ADVANCING A CAPPED AMOUNT IN EXCESS OF $60,000?  IF SO, THEN WHAT AMOUNT?

Enclosed is a draft showing our mark up of the agreement. We have changed
the agreement to reflect, I hope, discussions which I have had with Leon on
terms, address insurance, and to clarify other matters.

We are prepared to move forward by signing this agreement or one which is
satisfactory to both of us and to fund out the repairs. We understand that
the barge is in San Juan. We are prepared to act upon this as quickly as
possible.

Please let me have your comments or questions. I am going to call Boyson
today to maintain contact and lines of communication. I await further word
on how you have clarified the bill to be attached to the agreement form. I
am asking our people to get an insurance certificate to satisfy our side of
that the insurance provisions in the attachment.
