anagement of performance of vendors on the "Molyneux
select list." I told John that
I would get your input, but that I would expect
that John should treat
vendors identified by Molyneux as recommendations
which need to be evaluated by
John along with other vendors so as to make sure
that the most appropriate
vendors are chosen for the work. I told John that
Molyneux's recommendations
should be given consideration, but they should not
be the only vendors
considered. I told him that ideally we would like
to have a competitive bidding
process utilizing bid solicitations from at least 3
sources, if available, and
including John's bidder and bid analysis and John's
work to refine each bid to
make sure that each such bid is comprehensive and
can be compared with the
other submitted bids. John's analysis should
include John's recommendations of
what John believes are the most appropriate
bidders. OK?

  1. Regarding your working and billing

relationship with Molyneux. I told
John that I would have to find out from you if you
want John to be more
involved in your relationship with Molyneux, such
as, for example, in the
tracking and evaluating Moyneux's invoices. Please
let me know.

  1. Regarding John's proposed approach for the

formulation of Utilities
and Services plans. I told John that I would let
John know if you had any
objections to the three options he proposed.

  1. Regarding invoicing. I told John to send a

copy of his invoices and
the invoices of those vendors under his supervision
to Rich and me at the same
time that he sends the invoices to LSJ for payment
(at FTC's address).

  1. John will be submitting an invoice this week.

He approximated that
the amount of the invoice for work of John's firm
through the end of April
would be $16,200. He asked that if in addition to
getting that invoice paid, he
could receive a $15,000 retainer. John's initial
proposal never referenced a
retainer, but John told me that his firm "will be
making some fairly
significant commitments of time and resources to
this project in pushing the permit
process", so he feels that a small retainer would
be appropriate. Please
advise.

Not included in the bullet-point summary, but
referred to in John's report,
was a discussion regarding the accrued and expected
fees and expenses of the
Maguire Group, the engineering firm used by John
to document as-built
utilities and systems conditions on the Island.
John wanted to make certain that
you were comfortable with the money being spent on
the Maguire Group.
According to John's report:

"The value of the accumulated time for the Maguire
[Group] is approximately
$4,000; the expense of the [upcoming existing
conditions] trip [to LSJ] will
be about $3,500 and it may cost up to approximately
$9,000 to then prepare
the base line as built drawings and specification
list."

John Clarified for me at our meeting on Saturday
that the $3,500 is for
reimbursable expenses and excludes the Maguire
Group's fee for its trip to the
Island, but the $9,000 estimate of the cost to
prepare the base line as built
drawings and specifications list includes the
Maguire Group's fees for the
trip.

Based on John's report, the total estimate of both
accrued and future costs
and expenses of the Maguire Group to prepare the
base line as built drawings
and specifications list will be approximately
$16,500.
