L.A.W. Plantation Company, LLC has been offered
$35,000 for its membership
interest and all associated economic rights in South
Georgia Pecan Cleaning
Plant, LLC, a pecan cleaning and packing facility.
L.A.W. Plantation Company
currently derives no income whatsoever from the
interest because L.A.W.
Plantation does not engage in pecan farming and
allocations and distributions from
the South Georgia Pecan Cleaning Plant, LLC are
based on contributions of
crop to the facility for cleaning and packing.
L..A.W. Plantation Company
leases its pecan crop to another party which has its
own cleaning and packing
facility. Consequently, there is no value to L.A.W.
Plantation Company in
holding the interest and we have been trying to sell
the interest for the past 5
months. Peg's told me that when the decision to
sell was made ASW said to
"just get rid of it." According to Peg, Darryl
Halstead told Peg that Darryl
does not know of any other potential buyers and
that, even if we shop the
interest out, Darryl does not believe that we are
likely to receive much more than
$35,000 for it. Peg advised me that Peg told
Walter Novembre about the
$35,000 offering price and Walter told Peg that she
had authority to sell the
interest at that price.

The sale is accomplished by means of a two page
Redemption Agreement between
South Georgia Pecan Cleaning and Packing, LLC and
L.A.W. Plantation Company,
LLC, which I have reviewed. Pursuant to the
Redemption Agreement, L.A.W.
Plantation Company sells the interest back to South
Georgia Pecan Cleaning and
Packing, LLC, L.A.W. Plantation Company's interest
and all economic rights
are terminated and the parties confirm that L.A.W.
Plantation Company had no
economic activity in 2005 and is entitled to no
allocation of income, gain or
loss or deduction in respect of 2005 for economic or
tax purposes and is
entitled to no distributions for the calendar year
2005 (all which Peg advises me
is true). The Redemption Agreement is unremarkable
and I know of no reason
why it should not be signed by L.A.W. Plantation
Company. The signatory for
L.A.W. Plantation Company is L.A.W. Plantation
Management Corp., the manager,
of which you are President.

Do I have your authority to return the signed
Redemption Agreement to Peg
bearing your signature? Peg will forward it to
Darryl Halstead when she
receives it.
