I spoke with Jerry Goldsmith, who told me that you
promised a $200,000
subscription to purchase 20,000 shares of common
stock of First Bank of the Palm
Beaches at $10.00 per share, and asked me to Fed Ex
him for delivery tomorrow
the subscription documents, along with a $200,000
check payable to the order
of Nexity Bank, Escrow Agent.

Your 20,000 share subscription will constitute less
than 5% of outstanding
shares if the minimum number of shares are
subscribed for in this offering
(1,080,000).

According to the offering circular, it is intended
that the Bank will make
an S election and each subscriber is being asked to
sign a Federal S Election.
This obviously limits which of your entities can
make the subscription
(e.g., no non-US citizens, no C corps, no S Corps,
no partnerships and no LLCs
and only QSSTs). As a result, it is likely that
you would have to make this
investment in your individual capacity.

According to the offering circular, it is intended
that tax distributions
will be made, but there are no guarantees that there
will be tax distributions.

Did you agree to this subscription?

If so, may I subscribe for the 20,000 shares in your
name and may I
authorize a $200,000 check to be cut from your
personal account? May I send the
subscription docs and the check to Jerry by Fed Ex
for tomorrow delivery?

Please advise.

Darren
