you asked for additional financials so that you could have enough
information on which to base your decision. The attached documents [Financials -BoD prsentation May 5, and 0508 stockholder ltr] are very confidential as the financials contain far more granular detail that only normally goes to the Board - so please only show it on a need to know basis. thanks for your understanding.
Originally I asked if you would pay $1.25 per share - which was the price last paid at the last Series C -investment round.
but since then, and because I need to move the shares as fast as possible, I'm lowered the price to $1.00 per share .
Maximum amount of shares available is 50,000 shares or any portion thereof.
I am very much in need of selling these -but really can only offer to family and friends and my own Board - who I know I can trust.
I did get some friends to purchase some shares last year - so I don't have any more friends I can ask. I did also
ask members of my board - again one of my board members just did take 20,000 shares at $1.00 per share. - which needless
to say if they did not have confidence in the success of Chiliad, they would not have done. The CEO and Chairman wanted to do this but both are buying houses at this time, and so need to use their liquidity for their house purchases -otherwise they would have taken me up on my offer.
There would be a Secured promissory note - and a Pledge and security agreement - see attached proposed formats for both those documents.
The documents that are attached - just lack the investor name and the amount /shares
These are the documents that were used with Tyler Maccready for his last purchase of 215,000 shares in July of 2007 - moneys used to purchase Mum's new Land near Castillones in france.[at$1.25 per share]. Tyler Maccready has invested $1 million additional dollars in Chiliad.
HERE'S WHAT I'M LOOKING FOR - --minimum a batch of:20,000 - to Maximum 50,000 shares.
20,000 shares at $1.00 per share - $20,000
40,000 shares at $1.00 per share - $40,000
50,000 shares at $1.00 per share - $50,000
Series C Round in March of 2007 - 4.5 million dollars investment was at $1.25 per share.
I've attached the audited financials of 2005/6
The new CFO has provided 2007 financials to the Board -[see attachments]
NOTE that the take over to change the old CEO took place in June of 2006 [$600,000 special onetime expense paid
to Kroll] Our new CEO, Dan Ferranti only came on Board as of July 1 2007.
thanks in advance for finding time to discuss this opportunity with me i would so much prefer to keep my shares 'in the family'.

ps - Chiliad's CEO just announced the closure of the contract from Pfizer for a commercial license of Chiliad software.
This has a value of about $400,000 - for a first initial contract with the promise of more to come.
However it's extremely important as a breakthrough on the commercial
side and augurs well for moving into the pharmaceutical arena - and because Chiliad beat out the likes of Autonomy, FAST search and Retrieval, and Endeca, our main rivals in the search engine space.
