To get 15 MM shares of LTD into The Family Trust's

LHW held at the following

bearing a restrictive
legend -- this could mean that an opinion
from Howard is required
and that Merrill will
have to talk to Sam)
5,827,638 shares from Smith Barney (all shares in
street name).
4,416,325 shares will be used from Bear Stearns (all
shares in street name). All other LTD shares of LHW at Smith Barney and Bear
Stearns are in
certificate form bearing a restrictive legend; even
if we took all the certificated
shares from each of Smith Barney and Bear Stearns,
we would still have to take
certificated shares from Merrill. So, Peg decided
to take all the shares
from Merrill, which also empties LHW's Merrill Lynch
account of LTD shares. After the transfers from LHW's Merrill Lynch and
Smith Barney Accounts to
LHW's Bear Stearns account and from LHW's Bear
Stearns account to the Bear
Stearns account of THe Family Trust : there will be
no shares remaining in LHW's
account at Merrill Lynch, 514,634 certificated
shares in LHW's account at
Smith Barney and 667,553 shares (of which 630,092
are certificated) in LHW's
account at Bear Stearns. Is this acceptable? Please advise.
