For so long as Deutsche Asset & Wealth Management serves as a placement agent in respect of the Offering, Deutsche Asset & Wealth Management, agrees to use reasonable efforts not to cause or permit any Agent Covered Person who is subject to an actual or potential Disqualifying Event to participate in the Offering.
